Aupretor Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Aupretor Inc. (“Aupretor,” “we,” “our,” or “us”), governing your access to and use of the Aupretor website (aupretor.com), dashboard applications, AI operator engines, and related services (collectively, the “Service”).

By signing up, creating a business workspace, or otherwise accessing the Service, you confirm that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction.
• You have the legal authority to bind yourself or the legal entity on whose behalf you are acting.
• You have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. Description of the Service & AI Operator

Aupretor is an AI business operator designed for small businesses and operators. The platform unifies business communication channels (such as WhatsApp and Instagram), maintains a real-time graph of business activities (including customers, conversations, work orders, quotes, payments, and events), and provides an autonomous execution engine through which you can delegate operational tasks.

Key operational principles of our Service include:

• Proactive Awareness (Today): Continuously observing your business graph to surface overdue work, impending deadlines, uncollected balances, and urgent customer requests.
• Action-Oriented Execution (Actions): Allowing you to assign natural language tasks that create work items, log payments, update statuses, draft customer replies, and coordinate fulfillment.
• Continuous Learning: Storing workspace preferences and business operating instructions to ensure consistent execution tailored to your specific workflows.

3. Accounts, Access & Security

To use Aupretor, you must register for an account using a valid email address or supported authentication provider. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your credentials and access tokens.
• Promptly notify Aupretor at [email protected] upon becoming aware of any unauthorized access or breach of account security.
• Accept full responsibility for all activities, actions, and messages initiated under your account.

4. Subscriptions, 14-Day Free Trial & Refunds

5. Human Control & Action Delegation

Aupretor is built around the principle of human-controlled automation. You acknowledge and agree that:

• Explicit Approval for Sensitive Operations: Sensitive actions—including sending mass customer communications, executing financial transactions, or modifying sensitive business settings—require your explicit review and confirmation before execution.
• Supervisory Responsibility: You retain ultimate responsibility for reviewing and verifying work items, communications, and quotes generated or proposed by the AI operator.
• AI Output Limitations: While the AI operator uses state-of-the-art models and grounded business context, generative outputs may occasionally contain inaccuracies. You agree to inspect critical business communications and financial records.

6. Acceptable Use & Conduct

You agree not to use the Service, or permit any third party to use the Service, to:

• Violate any applicable federal, state, local, or international law, statute, or regulation.
• Transmit unsolicited commercial messages, spam, chain letters, or bulk communications in violation of anti-spam laws (such as CAN-SPAM or GDPR).
• Impersonate any person, business entity, or government agency.
• Distribute harmful code, malware, viruses, or attempts to disrupt or bypass the infrastructure of Aupretor or our service providers.
• Reverse-engineer, decompile, disassemble, or extract underlying source code or model weights from the Service.
• Engage in abusive, fraudulent, misleading, or deceptive business practices.

7. Proprietary Rights & Customer Data Ownership

Ownership and licensing rights are demarcated as follows:

• Your Business Data: You retain all right, title, and ownership interest in and to your business data, customer records, messages, and uploaded files (“Customer Data”). You grant Aupretor a limited license to host, parse, query, and transmit Customer Data solely to the extent necessary to provide the Service to you.
• No AI Model Training on Your Data: Aupretor does not use your private business data, customer conversations, or financial transactions to train or fine-tune public foundation AI models.
• Aupretor IP: All rights, title, and interest in and to the Aupretor software, user interfaces, branding, logos, proprietary action orchestration algorithms, and documentation remain the exclusive property of Aupretor Inc.

8. Third-Party Integrations & Services

The Service enables connections to third-party platforms, such as Meta (WhatsApp & Instagram), Bachs, and Cloudflare. Your use of such integrations is subject to the respective terms and privacy policies of those third-party providers. Aupretor is not responsible for any downtime, API modifications, or policy enforcements imposed by external platforms.

9. Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AUPRETOR DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL AUPRETOR INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO AUPRETOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination & Account Cancellation

You may terminate your account at any time through the workspace settings. Aupretor reserves the right to suspend or terminate access to your account immediately, without prior notice, if:

• You materially breach these Terms or our Acceptable Use standards.
• Your account exhibits signs of unauthorized compromise or harmful activity.
• Continued provision of the Service to your account exposes Aupretor or other users to legal or regulatory liability.

Upon termination, your right to access the Service will cease immediately. You may request an export of your primary customer and business graph data prior to closure.

11. Modifications to Terms

We may revise these Terms from time to time to reflect operational, technical, or regulatory changes. We will provide reasonable notice of material revisions by updating the “Last updated” date at the top of this page, sending an email notice, or displaying a prominent banner in the dashboard. Continued use of the Service after any modification constitutes your acceptance of the revised Terms.
